Terms of Use

1. Eligibility

1.1 You must be at least 16 years old.

1.2 You confirm that you have the legal capacity to enter into a binding agreement in your country.

1.3 If you use the Service on behalf of a company or organisation, you confirm that you are authorised to accept these Terms on its behalf, and "you" includes that organisation.

2. Account

2.1 Searching and buying tokens require an account – the same one on the website and in the app. You can register with email and password or with Google. Keep your details accurate and current.

2.2 You are responsible for keeping your sign-in details safe and for all activity in your account.

2.3 Tell us at support@rescanzo.com as soon as you notice unauthorised access to your account; you can end other sessions under Devices.

2.4 One person, one account, unless we agree otherwise in writing. Do not create an account for someone else without their permission, or extra accounts to collect free tokens.

2.5 We may suspend or close an account whose details are false or breach these Terms.

3. The Rescanzo app

3.1 Licence. We grant you a non-exclusive, non-transferable, revocable licence to install the app on your own devices and use it to search your own material for as long as these Terms apply.

3.2 Requirements. The app runs on macOS 12 or later on Apple Silicon and on 64-bit Windows 10 and 11; the system requirements, free disk space included, are on the download page. Checking that your computer is compatible is up to you.

3.3 Signing. The app is not yet signed by Apple and the Windows installer has no digital signature yet, so macOS and Windows show a warning on first launch; the download page explains how to open it. Download the app only from rescanzo.com: we are not responsible for copies from other sources.

3.4 Updates and settings. The app connects to our server to sign you in, charge tokens, get current prices and settings, and check for updates. Some updates may be required for search to keep working.

3.5 Editing apps. Final Cut Pro, Premiere Pro, DaVinci Resolve, CapCut and VEGAS are trademarks of their owners. We are not affiliated with them and do not guarantee compatibility with their future versions.

3.6 Your files. Your footage, index and search results are stored on your computer. Backing up your files is up to you; we are not liable for data lost on your device.

4. Acceptable use

Use the Service only lawfully and in line with these Terms. You must not:

4.1 Process video or audio you have no right to use, or material that is illegal, defamatory, abusive or fraudulent.

4.2 Infringe intellectual property, privacy, image or other rights of third parties, including by using the Service for unlawful surveillance of people.

4.3 Try to gain unauthorised access to the Service, its servers, databases or other users' accounts.

4.4 Scan or test systems for vulnerabilities, or circumvent security or authentication measures.

4.5 Use scripts, bots or other automation that puts an unreasonable load on the Service, or circumvent token accounting and charging or the Service's limits.

4.6 Decompile, disassemble or otherwise try to derive the source code of the app, the server or the models.

4.7 Resell, sublicense or commercially exploit the Service without our written consent, or use it to build a competing product.

4.8 Break any applicable law or the rules of third parties, such as the platforms where you publish your videos.

We may suspend or close your account for a breach without prior notice.

5. Search results

5.1 The Service uses artificial intelligence to find moments in your footage from a text description and, in Pro mode, from speech, and sends them to your editing app ("Results").

5.2 Results are provided "as is". We do not guarantee that search will find every matching moment, that what it finds will meet your expectations, or that it will be error-free.

5.3 You review Results before using them and are responsible for how you use them.

5.4 Tokens for a search are charged at the prices in force when it starts, whether or not the Results suit you, except for faults on our side (clause 6.10).

6. Payments

6.1 Merchant of Record. Dodo Payments ("Dodo Payments") is the Merchant of Record for purchases paid through it. When you buy a token pack or a plan this way, you are buying from Dodo Payments under its own terms and privacy policy. Dodo Payments handles payment, invoicing, tax and payment-related support. We never see or store your full card number.

6.2 Ruble payments. Purchases paid in rubles through the Robokassa service are sold by the Russian sole proprietor ИП Музеев Ильнур Шамильевич (INN 525629213400, OGRNIP 323527500128745), Nizhny Novgorod, Russia under the Public Offer (in Russian). Robokassa takes the payment: you enter your card details on its page, and we never see or store them. Dodo Payments' terms do not apply to these purchases, and their refunds are covered by Section 11 of the Refund Policy.

6.3 Prices and taxes. Current prices are shown on the website. When you pay through Dodo Payments, VAT or sales tax may be added at checkout based on your address; Dodo Payments calculates and remits it.

6.4 Crediting. Tokens are credited automatically once the payment service (Dodo Payments or Robokassa) confirms the payment. If they do not arrive, contact us.

6.5 Plans, their automatic renewal, cancellation and switching are covered by Section 7.

6.6 Refunds are governed by our Refund Policy.

6.7 Price changes. We may change prices. A change does not affect purchases already paid for; a plan's renewal price changes only as set out in clause 7.5.

6.8 Failed payments. If a payment fails, no tokens are credited.

6.9 Started periods. Once a plan period has started and its tokens have been credited, its fee is not refundable, however many tokens you used, except as set out in our Refund Policy and where the law of your country requires otherwise.

6.10 Faults on our side. If a search did not run, or tokens were charged in error, because of a verified fault in the Service (rather than your files, device or settings), the primary remedy is returning the tokens to your balance once support has checked it. Money is refunded for a technical fault only where returning tokens is not possible or the law requires it.

7. Plans and automatic renewal

7.1 A plan gives a set number of tokens for each 30-day period. A 30-day plan is paid every 30 days. A yearly plan is paid once a year at a discount and gives its tokens a period at a time: 12 periods in a row that together make up the year. What happens to tokens not spent in a period is set out in Section 8.

7.2 A plan paid by Visa or Mastercard in US dollars through Dodo Payments renews automatically. A plan paid in rubles through Robokassa renews automatically only where the payment window says so; otherwise it is paid once, and you can buy it again when the period ends.

7.3 Agreement. Before you pay, the payment window shows the plan's price, how often it is charged and that the plan renews until you cancel the renewal. By choosing a payment method in that window, you agree to these charges and authorise the payment service to charge the plan's price to the same payment method at the start of each following period until the renewal is cancelled. We keep a record of this agreement: the order and the time.

7.4 When and how much. A renewal is charged to the same payment method at the end of the current period, no earlier than one day before it ends, at the plan's price (clause 7.5); when you pay through Dodo Payments, tax may be added based on your address. The next period and its tokens start once the charge goes through. The payment service emails you a receipt for each charge.

7.5 Price changes. If we raise the price of your plan, we will tell you by email at least 14 days before the first charge at the new price. If you do not accept the new price, cancel the renewal before that charge.

7.6 Cancelling. You can cancel the renewal at any time in your account ("Manage plan" → "Cancel renewal") or by emailing support@rescanzo.com. A cancellation takes effect at the end of the period already paid for: the plan and its tokens stay until then, and nothing more is charged. Until the period ends you can resume the renewal in the same place. Cancelling does not refund the current period; refunds are covered by our Refund Policy.

7.7 Switching plans. You can switch to another plan in your account. The new plan starts when the current period ends and is charged at its own price from then on; the current plan runs to the end of its period, and nothing is charged or refunded for the rest of it. You can undo a switch until the period ends.

7.8 Failed charges. If a renewal charge fails, it is retried: through Robokassa, once a day, up to three attempts in all; through Dodo Payments, under Dodo Payments' rules. If it still cannot be collected, the plan stops renewing and you are told by email. You can buy a plan again at any time.

7.9 Account deletion and refunds. Deleting your account cancels the renewal at once: nothing more is charged, and the current period ends with the account. If a plan's payment is refunded, its period ends and its renewal is cancelled (see our Refund Policy).

7.10 Payment method. Card details are kept by the payment service; we never receive them. To have a plan renew from another card, email support@rescanzo.com.

8. Tokens

8.1 Tokens are the internal unit used to pay for searches. Low costs 1 token, Mid costs 2, Pro costs 2 tokens plus 1 for every started minute of video checked in the cloud. Current prices are shown on the website and in the app.

8.2 On sign-up, 50 free tokens are credited once. The size of this bonus for new accounts may change.

8.3 Tokens from one-off packs do not expire while the account exists. A plan's tokens last the 30 days of its period: whatever is left at the end of the period expires and does not roll over to the next one.

8.4 Searches use the tokens of the running plan first, then tokens from packs.

8.5 Tokens have no monetary value: they cannot be exchanged for money, transferred to another account or used outside the Service. They are forfeited when the account is deleted.

8.6 During a Pro check, tokens are held; the final amount is charged once the check is done.

8.7 We may change the token cost of searches with reasonable prior notice, and correct credits and charges made in error.

9. Intellectual property

9.1 The software, code, design, trademarks, logos and materials of the Service are owned by or licensed to Rescanzo and are protected by law.

9.2 You may not copy, modify, distribute or create derivative works from the Service without our written consent, beyond what the licence in clause 3.1 allows.

9.3 Your video, audio, queries and Results remain yours ("Your Material").

9.4 In Pro mode, you grant us a limited, non-exclusive, royalty-free licence to process fragments of Your Material solely to check Results. The licence ends when the check is done.

10. Your material and responsibility

10.1 You confirm that you own Your Material or have all the rights and permissions it needs, including consent from people on camera where required. We do not verify rights to material.

10.2 You are responsible for how you use and publish the edited video, including licences for music and for images of people.

10.3 Rescanzo is not liable for infringement of copyright, related or other rights arising from Your Material or its use.

11. Disclaimers

11.1 THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

11.2 WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

11.3 WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE OR FREE OF HARMFUL COMPONENTS.

11.4 WE DO NOT WARRANT THAT SEARCH RESULTS WILL BE ACCURATE, COMPLETE OR RELIABLE.

11.5 WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR EXPECTATIONS OR PRODUCE ANY FINANCIAL, COMMERCIAL, PROFESSIONAL OR OTHER RESULT.

12. Limitation of liability

12.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, RESCANZO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES.

12.2 THIS INCLUDES LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR OTHER INTANGIBLE LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.3 OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL YOU PAID FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).

12.4 WE ARE NOT LIABLE FOR THE ACTS OR OMISSIONS OF THIRD PARTIES (INCLUDING PAYMENT AND CLOUD PROVIDERS, EDITING APP DEVELOPERS AND NETWORK OPERATORS), OR FOR TEMPORARY FAULTS AND INTERRUPTIONS OF THE SERVICE, INCLUDING SCHEDULED MAINTENANCE AND UPDATES.

12.5 WHERE THE LAW OF YOUR COUNTRY DOES NOT ALLOW SUCH EXCLUSIONS OR LIMITATIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED.

13. Indemnification

13.1 You agree to defend and indemnify Rescanzo against any claims, actions, demands, losses, damages, costs and expenses (including reasonable legal fees).

13.2 This applies to anything arising from: (a) your use or misuse of the Service; (b) your breach of these Terms; (c) your breach of the law; (d) your infringement of third-party rights; (e) Your Material.

14. Termination

14.1 We may suspend or end your access to the Service, with or without notice, where we believe in good faith that your account is being used in breach of these Terms (including Section 4), to infringe third-party rights, or for fraud or abuse, or where the law, the payment services (Dodo Payments, Robokassa) or the payment networks require it.

14.2 We may refuse service where a user's actions create a heightened risk for the Service, payment providers or third parties.

14.3 If your account is closed for a breach of these Terms, tokens on your balance and paid plans are not refunded, except where the law requires it.

14.4 Suspension or termination does not release you from obligations that arose before it.

14.5 You may delete your account at any time in settings. Deletion is irreversible: account data is deleted, tokens on your balance are forfeited, a plan's automatic renewal is cancelled, and every device is signed out.

14.6 Sections 9, 10, 11, 12, 13, 15 and 17 survive termination.

15. Governing law and disputes

15.1 These Terms are governed by the laws of the Republic of Moldova, without regard to its conflict-of-law rules, except for ruble purchases through Robokassa (clause 15.5).

15.2 The parties will first try to resolve any dispute through good-faith negotiation for 30 days.

15.3 If negotiation fails, the dispute goes to the competent courts of the Republic of Moldova, unless mandatory consumer protection law of your country provides otherwise.

15.4 Disputes about payments – charges, invoices and refunds processed by Dodo Payments as Merchant of Record – may also be subject to Dodo Payments' terms and the law and jurisdiction set out there.

15.5 Ruble purchases through Robokassa, their payment and refunds are governed by the Public Offer and the laws of the Russian Federation; disputes about them follow Section 9 of the offer, and the pre-trial procedure is mandatory.

15.6 Chargebacks. Before contacting your bank about a charge, give us the chance to resolve it by emailing support@rescanzo.com. If a payment dispute is opened, we and/or the payment service (Dodo Payments or Robokassa) may give the bank or card network account details and server logs – search and charge history, timestamps and IP addresses – as evidence that the service was delivered. If the card network or the payment service finds a chargeback to be without valid grounds, we may (a) suspend or close the account, (b) remove unused tokens tied to the disputed purchase, and (c) refuse further service to the account and its payment methods. This clause does not limit your right to raise a genuine dispute with your bank and does not apply to disputes made in good faith.

16. Changes to these Terms

16.1 We may change these Terms.

16.2 We will notify you of material changes by email and/or in the app at least 14 days before they take effect.

16.3 By continuing to use the Service after that date, you accept the new edition.

16.4 If you do not agree with the new edition, stop using the Service; you can delete your account.

17. Miscellaneous

17.1 Entire agreement. These Terms, together with our Privacy Policy and Refund Policy, are the entire agreement between you and Rescanzo about your use of the Service.

17.2 Language. The Russian edition of these documents is binding. Translations are provided for convenience; if they differ, the Russian edition prevails.

17.3 Severability. If any provision is found unenforceable, the rest remain in force.

17.4 Waiver. Not exercising a right under these Terms does not waive it.

17.5 Assignment. You may not assign your rights and obligations under these Terms without our written consent. We may assign ours, including on a sale or reorganisation of the Service.

17.6 Force majeure. We are not liable for failure or delay caused by events beyond our reasonable control.
